These Self-Serve Subscription Terms (this “Agreement”) govern access to and use of self-serve offerings made available by Tines. This Agreement applies to any individual or entity that accesses, creates an account for, signs up for, upgrades to, or uses Tines’ Community Edition or any paid self-serve subscription offered by Tines (collectively, the “Self-Serve Offerings”). If you have entered into a separate written agreement with Tines governing sales-led subscriptions or other negotiated purchases (a “Sales-Led Agreement”), that Sales-Led Agreement governs only the subscriptions or services purchased under it. This Agreement governs exclusively your access to and use of the Self-Serve Offerings and does not apply to sales-led subscriptions unless expressly stated otherwise in writing by Tines.
By creating a Tines account, signing up for Community Edition, activating or using a Self-Serve Offering obtained directly from Tines or through a Distributor, purchasing or upgrading a self-serve subscription, or otherwise accessing or using any Self-Serve Offering, you acknowledge that you have had an opportunity to review this Agreement and agree to be bound by it. If you do not agree, you may not access or use the Self-Serve Offerings. If you are accessing or using the Self-Serve Offerings on behalf of an entity, “Customer” and “you” refer to that entity, and you represent and warrant that you have authority to bind that entity to this Agreement.
Scope of Agreement.
Self-Serve Offerings. This Agreement governs access to and use of Tines’ cloud-based products, features, and services that are made available for online, self-service sign-up, access, purchase, upgrade, and renewal without a sales-led contracting process. Self-Serve Offerings are provided solely as cloud-hosted services and do not include self-hosted, on-premises, air-gapped, or dedicated deployment options.
Distributors and MSP Use. Tines may make Self-Serve Offerings available through authorized third-party marketplaces, resellers, distributors, and Managed Service Providers (“Distributors” and “MSPs”). A third party’s role under this Agreement depends on how the Self-Serve Offerings are provisioned and used, as described below.
Distributor Role. Where a Distributor facilitates the marketing, sale, billing, or provisioning of a Self-Serve Offering for an end customer, and the end customer directly accesses and uses the Self-Serve Offering, the end customer is the “Customer” under this Agreement, and the Distributor is not a party to this Agreement.
MSP Role. Where a Managed Service Provider purchases or subscribes to a Self-Serve Offering and operates the Self-Serve Offering as part of a managed service provided to its own customers, the MSP is the “Customer” under this Agreement. In this role, MSP Customers may receive services either without any direct access to the Self-Serve Offerings or, where permitted by the MSP, with direct access solely as Authorized Users within the MSP’s Tenant. In all cases, MSP Customers do not obtain any rights under this Agreement.
Role Determination. A Distributor or Managed Service Provider may act in different roles for different Self-Serve Offerings or end customers. For each Self-Serve Offering, the applicable role under this Agreement is determined on a per-tenant basis by who controls and operates the Tenant and whether the end customer directly accesses and uses the Self-Serve Offering.
Unless expressly agreed otherwise in writing by Tines, Distributors and MSPs do not receive any rights under this Agreement to resell or sublicense the Self-Serve Offerings. Any approval by Tines under this Agreement may be granted or withdrawn in Tines’ sole discretion and may be subject to additional conditions communicated in writing.
Community Edition. Community Edition (“CE”) is a free, self-serve plan intended for learning, experimentation, and early testing. CE provides access to a limited subset of the Self-Serve Offerings and is subject to usage limits, feature restrictions, and other constraints described on Tines’ website, documentation, and pricing pages. Tines may modify CE limits, features, or availability at any time, including to prevent abuse, protect platform integrity, or reflect product changes.
Paid Self-Serve Subscriptions. Paid Self-Serve Offerings are provided on a subscription basis and include additional capacity, users, or features as described in the applicable plan documentation. Paid subscriptions may be billed monthly or annually, as set forth during sign-up or upgrade.
No Order Forms. Self-Serve Offerings are not governed by order forms. Pricing, plan structure, limits, and included features are defined by Tines’ then-current pricing pages, plan descriptions, documentation, or checkout flows.
License and Use Rights.
License Grant. Subject to this Agreement, Tines grants you a limited, non-exclusive, non-transferable, and non-sublicensable right to access and use the Self-Serve Offerings for your internal business purposes or, where Customer is a Managed Service Provider approved under this Agreement, to provide managed services during the applicable subscription term.
Restrictions. You may not, and may not permit any third party to:
copy, modify, or create derivative works of the Self-Serve Offerings;
reverse engineer, decompile, or attempt to extract source code;
access the Self-Serve Offerings to build, benchmark, or support a competing product or service;
exceed plan limits or bypass technical restrictions;
provide any third-party or external services using the Self-Serve Offerings, including resale, managed services, time-sharing, or service bureau arrangements, except where expressly approved in writing by Tines;
introduce malware, spam, or malicious code; or
use the Self-Serve Offerings in violation of applicable law or Tines policies.
Subscription Structure and Capacity. Self-Serve Offerings are provided pursuant to plans offered through Tines’ online channels. Plans may differ by included users (e.g., builders), flows, usage capacity (such as monthly events), and features. Exceeding plan limits may require an upgrade, throttling, suspension, or transition to a sales-led offering. Tines may update pricing or plan structures, features, capacity, and offerings prospectively, and any such changes will apply to subsequent subscription periods or upgrades.
Incorporated Terms and Policies.
Your use of the Self-Serve Offerings is subject to the following additional terms and policies, set forth at Tines.com/legal, and each incorporated by reference and forming part of this Agreement (as applicable):

product documentation and pricing materials.
Fees, Billing, and Payment.
Community Edition is provided at no cost. Paid Self-Serve Offerings are billed in advance on a monthly or annual basis, as set forth in the relevant documentation. Certain features (including AI Credits) may incur usage-based charges.
Except as required by law, all fees are non-refundable and non-cancelable, including for partially used subscription periods, unused capacity, or unused credits.
By using paid Self-Serve Offerings, you authorize Tines and its payment processor to charge your payment method on file for all applicable fees, renewals, approved upgrades, usage-based charges (including charges resulting from usage in excess of applicable plan limits after notice), and taxes. You must maintain a valid payment method on file unless Tines expressly permits offline payment.
Support and Training. Self-Serve Offerings include community-based support and billing support only. No onboarding services, professional services, dedicated customer success resources, service-level agreements, or uptime guarantees are included. Training is limited to online, self-service materials only, including documentation and recorded content. Any instructor-led training, onboarding, professional services, additional subscriptions, or enhanced support that Tines may make available are add-on offerings and are not included in the Self-Serve Offerings unless expressly stated in writing by Tines. For clarity, any service level schedules or uptime commitments offered by Tines apply only to sales-led subscriptions expressly subject to such terms and do not apply to the Self-Serve Offerings.
Customer Responsibilities and Data.
You are responsible for all activity conducted through your accounts and must comply with applicable law and the Fair Use Policy. Violations constitute a material breach and may result in throttling, suspension, or termination without refund.
You retain all rights in Customer Data. Tines processes Customer Data to provide the Self-Serve Offerings in accordance with the Data Processing Addendum and Privacy Policy.
The Self-Serve Offerings generate usage, configuration, and diagnostic data (“Usage Data”). Tines may collect and use Usage Data to operate, maintain, secure, support, and improve the Self-Serve Offerings.
Customer is responsible for ensuring that all authorized users, including any end customers permitted access under a managed services arrangement, comply with this Agreement, and Customer is liable for their acts and omissions as if they were Customer’s own.
For each applicable Self-Serve Offering, at the time of sign-up, Tines may make available a selection of Amazon Web Services (“AWS”) hosting regions, and Customer selects the applicable AWS region during account creation for that Self-Serve Offering. The AWS region selected at sign-up applies only to the applicable Self-Serve Offering and cannot be changed through the application. Information regarding Tines’ use of subprocessors, including hosting locations, is available in Tines’ published subprocessor list. Customer acknowledges that data may be processed or accessed outside the selected AWS region as necessary to operate, support, and secure the Self-Serve Offerings.
Suspension, Termination, and Refusal of Service. Tines may suspend, limit, or terminate access to the Self-Serve Offerings for non-payment, security risk, abuse, violation of this Agreement or incorporated policies, or as required by law. Tines reserves the right to refuse, limit, or discontinue access to the Self-Serve Offerings (including Community Edition) at any time and for any reason, including misuse, fraud, abuse, competitive activity, or actions contrary to Tines’ policies or interests. Following termination or expiration of access to the Self-Serve Offerings, you may export Customer Data for a limited period as described in Tines’ documentation. After such period, Tines will have no obligation to retain Customer Data and may delete it in accordance with its data retention practices and applicable law.
Prohibited and Regulated Data.
Prohibited Data. You may not use the Self-Serve Offerings to store, process, transmit, or otherwise make available any data that is subject to heightened regulatory, contractual, or security obligations, including regulated or sensitive data that would require Tines to enter into additional agreements, certifications, or compliance commitments not offered for Self-Serve Offerings. Without limiting the foregoing, prohibited data includes:
protected health information regulated under HIPAA or similar laws (and Tines does not enter into business associate agreements for Community Edition or any Self-Serve Offering);
classified, controlled unclassified, or government-restricted data;
export-controlled or sanctions-restricted data (including ITAR or EAR); and
any data requiring security, audit, or contractual commitments beyond those expressly provided under this Agreement.
No Regulated Use. The Self-Serve Offerings are not designed for regulated, safety-critical, or high-risk use cases, and must not be used in environments where failure could result in death, personal injury, or significant harm.
Customer Responsibility and Enforcement. You are solely responsible for determining whether your use complies with applicable law. If your use case requires regulated data processing or additional contractual commitments, you must contact Tines to evaluate a sales-led subscription. You agree to use the Self-Serve Offerings responsibly, ethically, and in compliance with this Agreement, the Fair Use Policy, and applicable law. You must not use the Self-Serve Offerings in a manner that infringes, misappropriates, or otherwise violates the intellectual property, privacy, publicity, or other rights of any third party, or that is unlawful, deceptive, abusive, harmful, or fraudulent. You are solely responsible for the content, data, and workflows you create, submit, or process using the Self-Serve Offerings, and for ensuring that you have all necessary rights and permissions to do so.
Disclaimers, Liability, and Indemnification. THE SELF-SERVE OFFERINGS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TINES’ TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU FOR THE SELF-SERVE OFFERINGS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. TINES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. You agree to indemnify and hold harmless Tines from claims arising out of your use of the Self-Serve Offerings in violation of this Agreement or applicable law.
Miscellaneous.
Contracting Entity. “Tines” means the applicable Tines contracting entity determined by Customer’s primary place of business, as follows: (a) Tines Automation, Inc., a Delaware corporation, if Customer is domiciled in North America; or (b) Tines Security Services Limited, an Irish company, if Customer is domiciled outside North America. Tines may perform its obligations under this Agreement through its affiliates.
Governing Law and Venue. If the contracting entity is Tines Automation, Inc., this Agreement is governed by the laws of the State of Delaware, with exclusive venue in the state or federal courts located in Delaware. If the contracting entity is Tines Security Services Limited,, this Agreement is governed by the laws of Ireland, with exclusive venue in the courts of Ireland.
Third-Party Tools. Tines may make third-party tools or integrations available. Tines does not control and is not responsible for third-party products or services. Use is at your own risk.
Export Controls. You represent that you are not subject to sanctions and will not use the Self-Serve Offerings in violation of export or sanctions laws.
Beta and Preview Features. Beta or preview features are provided “as is” and may be modified or discontinued at any time.
Force Majeure. Neither party is liable for delays or failures beyond its reasonable control.
Assignment. You may not assign this Agreement without Tines’ consent. Tines may assign in connection with a merger, acquisition, or sale of assets.
Modifications. Tines may modify this Agreement by posting updated terms. Material changes become effective no sooner than thirty (30) days after posting. Continued use constitutes acceptance.
Notices. Notices may be provided electronically or via posting on Tines’ legal pages.
Entire Agreement; Severability; Waiver. This Agreement is the entire agreement regarding the Self-Serve Offerings. Invalid provisions do not affect the remainder. Failure to enforce is not a waiver.
Survival. Sections relating to fees, payment obligations, confidentiality, indemnification, limitation of liability, governing law, and this Section survive termination.
Definitions.
Authorized Users means individuals authorized by Customer to access and use the Self-Serve Offerings within Customer’s tenant/account, including Customer’s employees, contractors, and, where permitted under this Agreement, Customer’s end customers.
Customer Data means any data, content, or information submitted to, processed by, or stored in the Self-Serve Offerings by or on behalf of Customer or its Authorized Users, including, where applicable, data of MSP Customers.
Distributor means a third party authorized by Tines to facilitate the marketing, sale, provisioning, or billing of Self-Serve Offerings, including through a marketplace or distribution platform, but that does not itself access or use the Self-Serve Offerings except as expressly permitted by Tines.
MSP Customers means Customer’s end customers that receive services from a Managed Service Provider in connection with the Self-Serve Offerings.
Tenant means a logically isolated instance of the Self-Serve Offerings provisioned for Customer, within which Authorized Users access and use the Self-Serve Offerings and Customer configures workflows, data, and permissions.
